These Terms of Service explain how schools, parents, staff, and drivers can use the ValleyX platform, and what we each agree to along the way.

These Terms of Service ("Terms") govern access to and use of the ValleyX school management platform and related mobile applications, including ValleyX Parent, ValleyX Staff, and ValleyX Driver (collectively, the "Services"), provided by ValleyX ("ValleyX," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

Who These Terms Apply To

ValleyX is provided to schools ("Institutions") under a subscription agreement. Staff, students, parents/guardians, and drivers access the Services through accounts created or authorised by the Institution.

The Institution is the account holder

The Institution is responsible for managing its users' access, ensuring accounts are used appropriately, and maintaining accurate records within the platform.

Individual users agree to these Terms too

Anyone using ValleyX Parent, ValleyX Staff, or ValleyX Driver — including on behalf of a minor — agrees to these Terms as a condition of use.

Accounts and Access

Access to ValleyX depends on the role assigned to you by your Institution.

Keep credentials safe

You are responsible for maintaining the confidentiality of your login details.

Report unauthorised use

Notify us or your Institution immediately if you suspect account misuse.

One account, one person

Accounts are personal and should not be shared between users.

Accurate information

Information provided during account setup should be accurate and kept up to date.

Subscription Plans and Billing

ValleyX is offered to Institutions under various subscription plans, billed monthly or annually as agreed at signup.

Fees and renewal

Subscription fees are charged in advance for the billing cycle selected. Plans renew automatically unless cancelled before the renewal date, in accordance with the Institution's agreement with ValleyX.

Seat limits and overage

Plans may include a student seat limit, minimum billable count, or per-student pricing. Where a plan allows overage, additional charges apply as described in the plan details at the time of purchase.

Refunds

Except where required by law or explicitly agreed in writing, subscription fees are non-refundable once a billing cycle has started.

Acceptable Use

ValleyX is built for legitimate school administration. When using the Services, you agree not to:

Misuse student data

Access, share, or use data outside your authorised role.

Disrupt the platform

Interfere with normal operation, security, or availability of the Services.

Reverse engineer

Attempt to extract source code or replicate the platform without authorisation.

Upload unlawful content

Post or share content that is illegal, abusive, or infringes others' rights.

Student and School Data

Data entered into ValleyX by an Institution — including student, staff, and parent records — remains the property of that Institution. ValleyX acts as a data processor and handles this information according to the Institution's instructions and our Privacy Policy. Institutions are responsible for ensuring they have appropriate consent and legal basis to submit personal data, including data relating to minors, into the platform.

Bus Tracking and Location Services

The ValleyX Driver app shares real-time vehicle location during active trips for the purpose of transport visibility. Location tracking is a support tool and does not guarantee accuracy, uninterrupted connectivity, or real-time precision at all times. Institutions and drivers remain responsible for actual transport safety and route compliance.

Payments Made Through ValleyX

Fee payments made by parents through the platform are processed via third-party, PCI-DSS compliant payment gateways. ValleyX is not a party to the underlying transaction between the parent and the Institution, and is not responsible for disputes regarding fee amounts, refunds, or school policies — these should be raised directly with the Institution.

Intellectual Property

The ValleyX platform, including its software, design, branding, and underlying technology, is owned by ValleyX and protected by applicable intellectual property laws. Institutions and users are granted a limited, non-exclusive, non-transferable right to use the Services for their intended purpose, and may not copy, modify, or redistribute the platform without written permission.

Service Availability

We work to keep ValleyX available and reliable, but we do not guarantee uninterrupted or error-free service. We may temporarily suspend access for maintenance, updates, or circumstances beyond our reasonable control, and will aim to minimise disruption wherever possible.

Limitation of Liability

To the maximum extent permitted by law, ValleyX shall not be liable for indirect, incidental, or consequential damages arising from use of the Services, including but not limited to data loss, missed communications, or transport delays. Our total liability for any claim relating to the Services is limited to the subscription fees paid by the Institution in the twelve months preceding the claim.

Suspension and Termination

We may suspend or terminate access to the Services if these Terms are violated, if fees remain unpaid, or if required by law. Institutions may cancel their subscription in accordance with their plan's terms. Upon termination, access to the Services ends, and data handling follows the retention terms described in our Privacy Policy.

Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Srinagar, India.

A PLATFORM BUILT ON FAIR TERMS

We aim to be as clear about our terms as we are about your data.

If any part of these Terms is found unenforceable, the remaining provisions continue in full effect. Our failure to enforce any part of these Terms does not waive our right to do so later.

We may update these Terms from time to time to reflect changes in our Services, technology, or legal requirements. We will notify Institutions of material changes and update the date above. Continued use of the Services after changes take effect means you accept the revised Terms.
